THE ROLE

As a fast growing scale-up revolutionizing the Carbon capture industry, we thrive on innovation, collaboration, and a commitment to excellence while maintaining a strong commitment to ethical and legal integrity. We are seeking an experienced Legal Counsel to provide comprehensive legal support and guidance as we scale our operations in the Netherlands and internationally.

As our Legal Counsel, you will play a critical role in shaping the legal framework that supports our mission while enabling us to scale efficiently and responsibly.

YOU’LL MAKE AN IMPACT BY

  • Legal Strategy & Advisory

    • Acting as the primary legal advisor to the executive team, offering strategic counsel on legal risks and opportunities.

    • Providing proactive advice on compliance with Dutch/EU, US, and Canadian regulations.

  • Corporate Governance & Compliance

    • Ensuring compliance with corporate governance requirements under the relevant law, including shareholder agreements, board resolutions, and regulatory filings.

    • Monitoring and managing compliance with GDPR and other data protection regulations applicable in the EU.

  • Contract Management

    • Drafting, reviewing, and negotiating a wide range of commercial agreements, including customer supply agreements and SLA’s, vendor agreements, partnership deals and NDAs.

    • Ensuring all contracts align with the relevant legal standards and business objectives.

  • Risk Management & Dispute Resolution

    • Identifying, assessing, and mitigating legal risks associated with business operations in the Netherlands and abroad.

    • Managing disputes, claims, and regulatory investigations, collaborating with external counsel when necessary.

  • Policy Development 

    • Developing and implementing internal policies to ensure legal and regulatory compliance.

    • Provide training to employees on topics such as data protection, compliance, and intellectual property, and create guidance documents.

  • IP & Equity Management

    • Managing legal processes around the company’s intellectual property, including trademarks, copyrights, and patents.

    • Overseeing legal aspects of equity structures, including employee stock options and investor agreements.

WHAT WE ARE LOOKING FOR

  • Master’s degree in Law (LLM) from a recognized university.

  • Minimum of 5 years of post-qualification experience, with at least 1 year in a startup or high-growth environment.

  • Deep understanding of Dutch corporate law and laws of England & Wales, and EU regulatory frameworks. Experience with US law being a bonus.

  • Proven expertise in GDPR compliance and data privacy regulations.

  • Familiarity with venture capital funding, M&A, or fundraising processes in the Netherlands.

  • Experience negotiating complex customer contracts and managing cross-border legal matters.

  • Strong communication and negotiation skills, with fluency in Dutch and English (both written and verbal).

  • Familiarity with equity compensation structures in The Netherlands and preferably the US and Canada.

  • Knowledge of startup ecosystems and innovation policies in the Netherlands
